This Participant Agreement (the “Agreement”) is entered into by and between Sunaofe Sunon Technology Co., Ltd. Located at: 2523 Hamill Avenue, and the participant (the “Participant”) in the “So Now You Win” Contest (the “Contest”).
By entering the Contest, the Participant agrees to abide by the rules, terms, and conditions outlined in this Agreement, as well as the official Contest rules.
1. Eligibility
1.1 To be eligible to participate in the Contest, the Participant must be at least 18 years old at the time of entry.
1.2 The Participant must submit their previous work and social media accounts for consideration during the selection process.
2. Contest Participation
2.1 The Participant agrees to create and submit a cinematic, creative video highlighting one of the chairs from the Resistance Collection.
2.2 The Participant agrees to follow all instructions provided by the Company during the Contest.
2.3 The video must be submitted by the deadline specified in the Contest announcement.
2.4 The selected Participants will receive a chair of their choice from the Resistance Collection, and they will be required to retain it after submission of their video.
3. Prize
3.1 The Contest prize consists of $5000 (USD), to be awarded via bank transfer or PayPal.
3.2 In addition to the monetary prize, selected Participants will receive the Resistance Collection chair of their choice as a gift.
3.3 The prize is non-transferable, and no cash or other substitutions will be allowed.
4. Grant of Rights
4.1 By entering the Contest, the Participant grants Sunaofe a worldwide, royalty-free, non-exclusive license to use the submitted video for promotional purposes on social media, marketing materials, and other platforms associated with the Company. The Company will credit the Participant by tagging them and acknowledging their work whenever their video is shared.
4.2 The Company retains the right to edit and modify the video for use in promotional materials, including but not limited to social media and digital campaigns. 4.3 The Participant warrants that the video does not infringe upon any third-party rights, including intellectual property rights.
5. Intellectual Property
5.1 The Participant will maintain ownership of their video but grants the Company permission to use, showcase, and share the content for purposes related to the Contest. The Company will ensure the Participant receives proper credit by tagging them and acknowledging their work whenever the video is featured.
5.2 The Participant confirms they have full rights to submit the video and all associated materials for the Contest.
6. Liability and Disclaimers
6.1 The Participant agrees to indemnify and hold harmless Sunaofe from any claims, damages, or liabilities arising from the submission of the video, including any infringement of third-party intellectual property rights or any injuries sustained while creating or submitting the video.
6.2 The Company is not liable for any loss, injury, or damage caused by participating in the Contest.
7. Confidentiality
7.1 The Participant agrees to keep any proprietary or confidential information received from Sunaofe during the Contest confidential, unless disclosure is required by law.
7.2 This includes any non-public details about the Resistance Collection or the Contest process.
8. No Affiliation
8.1 The Participant acknowledges that this Contest is not affiliated with Instagram, TikTok, or any other social media platform and that the platforms are merely used as tools for participation.
8.2 The Company releases Instagram, TikTok, and their affiliates from any liability related to the Contest.
9. Termination and Disqualification
9.1 The Company reserves the right to disqualify any Participant for failure to comply with the Contest rules or the terms outlined in this Agreement.
9.2 If a Participant is disqualified, they will forfeit their prize, and the prize may be awarded to an alternate Participant.
9.3 The Company can terminate the Contest at any time without prior notice, in which case no prize will be awarded.
10. Governing Law
10.1 This Agreement is governed by and construed in accordance with the laws of [Your State/Country].
10.2 Any disputes arising from or related to this Agreement shall be resolved in the competent courts located in [Your State/Country].
11. Miscellaneous
11.1 This Agreement represents the entire understanding between the Company and the Participant regarding the Contest and supersedes any prior agreements or understandings.
11.2 The Company reserves the right to modify or amend this Agreement at any time, provided that the Participant is notified of such changes.
BY PARTICIPATING IN THIS CONTEST, YOU AGREE TO ALL TERMS AND CONDITIONS OUTLINED IN THIS AGREEMENT.
